VACANCY ANNOUNCEMENT

Position: Company Secretary

PMDC is a state-owned enterprise under the administrative control of the Ministry of Energy (Petroleum Division), Government of Pakistan. It is engaged in the exploration, mining, and marketing of minerals across the country.


Position Overview:

PMDC invites applications from qualified professionals for the position of Company Secretary on an open contract basis. The selected candidate will be offered a competitive market-based compensation package.


Qualifications (Minimum Required):

  • Member of a recognized body of professional accountants, OR

  • Member of a recognized body of corporate or chartered secretaries, OR

  • Master's degree in Business Administration, Finance, Commerce, Law, or an equivalent qualification from a university recognized by the Higher Education Commission (HEC) of Pakistan.

  • Must meet the fit and proper criteria as per the State-Owned Enterprises (Governance and Operations) Act, 2023.


Experience:

  • Minimum 10 years of relevant post-qualification professional experience.

  • At least 5 years of experience specifically as a Company Secretary with proven expertise in:

    • Corporate governance

    • Regulatory compliance

    • Company secretarial practices


Age Limit:

  • Maximum 50 years as of the closing date for applications.


Key Responsibilities:

  • Ensure strict compliance with all statutory and regulatory obligations (e.g., Companies Act, 2017, SOE governance frameworks).

  • Organize and manage Board of Directors (BoD) and BoD Committee meetings, including agenda preparation, minute-taking, and follow-up.

  • Serve as a liaison between the BoD, management, and external stakeholders.

  • Maintain statutory records and corporate filings as required by law.

  • Provide legal and administrative support in matters related to corporate governance.

  • Ensure accurate and timely provision of corporate information to regulators and other stakeholders.

  • Advise the Board on legal and regulatory issues impacting the organization.


Additional Requirements:

  • Strong communication, interpersonal, and organizational skills.

  • Proficiency in legal drafting and corporate documentation.

  • High standards of integrity, professionalism, and commitment to transparency.
