APPOINTMENT OF INDEPENDENT DIRECTORS

About Balochistan Education Endowment Fund (BEEF):

Balochistan Education Endowment Fund (BEEF) is a non-profit Public Sector Company, owned and controlled by the Government of Balochistan. It is incorporated with the Securities and Exchange Commission of Pakistan (SECP) under section 42 of the Companies Act, 2017. BEEF’s primary objective is to award scholarships to students of Balochistan and to fulfill other purposes outlined in its Memorandum of Association.

Position Overview:

BEEF intends to appoint Independent Directors in compliance with the Public Sector Companies Rules, 2013 (amended up to July 2019).

Qualification Criteria:

  • Mandatory Requirement:
    • Must have completed the Directors Training Program (DTP) from an institution approved and accredited by SECP.
    • Must be registered in the Data Bank of Independent Directors maintained by the Pakistan Institute of Corporate Governance (PICG), as per Clause 166 of the Companies Act, 2017.

Regulatory Requirements:

  1. The candidate must be listed in the Directors Data Bank maintained by PICG in accordance with section 166 of the Companies Act, 2017.
  2. The candidate should fulfill the following:
    • Meet the criteria of independence as outlined in the Public Sector Companies Rules, 2013.
    • Meet the fit and proper criteria specified by SECP for Public Sector Companies.
  3. The candidate must not serve as a director in more than five (5) Public Sector Companies simultaneously.
  4. The candidate must not have served as an independent director in BEEF for two consecutive terms.
