Position Title: Company Secretary
Organization: Pakistan Mineral Development Corporation (PMDC)
Type of Employment: Open contract basis with a competitive market-based package
Pakistan Mineral Development Corporation (PMDC) is a state-owned enterprise operating under the administrative control of the Ministry of Energy, Petroleum Division, Government of Pakistan. The corporation is engaged in the exploration, mining, and marketing of a variety of mineral resources.
Position: Company Secretary
PMDC is seeking a qualified and experienced individual for the position of Company Secretary. The role is critical for ensuring corporate governance compliance and effective management of board functions.
The candidate must possess one of the following qualifications:
Membership in a recognized body of professional accountants
Membership in a recognized body of corporate or chartered secretaries
Master’s degree in Business Administration, Finance, Commerce, Law, or an equivalent field from an HEC-recognized university
Additional Requirement:
Must fulfill the fit and proper criteria as per the State-Owned Enterprises (Governance and Operations) Act, 2023
Minimum 10 years of relevant post-qualification experience
At least 5 years of experience specifically as a Company Secretary
Strong background in corporate governance, regulatory compliance, and company secretarial practices
Maximum age: 50 years as of the closing date for applications
Ensure compliance with all regulatory and statutory obligations, including the Companies Act, 2017 and relevant SOE governance frameworks
Organize and manage meetings of the Board of Directors (BoD) and its committees
Prepare and distribute meeting agendas, minutes, and follow up on decisions
Serve as the liaison between the BoD, management, and external stakeholders
Maintain statutory records, legal filings, and all required corporate documentation
Provide legal and administrative advice on corporate governance matters
Ensure timely and accurate provision of corporate information to authorities
Advise the Board on legal and regulatory matters related to PMDC’s operations
Strong communication, organizational, and interpersonal skills
Proficiency in legal drafting and corporate documentation
High integrity, professionalism, and a commitment to transparency
