Position Title: Company Secretary (EVP/SEVP)

Age Limit:
Maximum 57 years as of the application deadline.
Educational Qualifications:
Minimum Master’s Degree in Business Administration, Commerce, or Law from an HEC-recognized university.
Foreign qualifications must be accompanied by an HEC equivalence certificate.
Must be a member of a recognized body of professional accountants or corporate/chartered secretaries.
Experience:
Minimum 22 years of overall work experience in banking, financial sector, multinational, or large organizations.
At least 10 years must be in a Company Secretary role.
Preference will be given to candidates with relevant experience in Legal, Compliance, Audit, and/or Corporate Affairs in the financial sector.
Skills & Expertise:
Strong knowledge of Corporate Governance, SBP PRs, SECP regulations, and related legal frameworks.
Sound understanding of Banking Companies Ordinance and Banks' Nationalization Act.
Excellent communication, presentation, analytical, and drafting abilities.
Strong decision-making, planning, and problem-solving skills.
In-depth awareness of the public sector organizational environment.
Ability to handle pressure and meet strict deadlines professionally.
Ensure compliance with the Terms of Reference (ToRs) of the Board Committees.
Advise the Board on best corporate governance practices and regulatory obligations.
Ensure proper issuance of Board meeting notices, agenda circulation, and documentation.
Conduct statutory meetings such as AGMs/EGMs and Board Committee meetings.
Record and disseminate meeting minutes in compliance with regulatory guidelines.
Maintain communication with SBP, SECP, PSX for statutory submissions and queries.
Prepare Agenda Books, Memos, and ensure timely regulatory filings.
Facilitate execution of Board decisions and follow-up on action items.
Coordinate with internal departments and Share Registrar for meetings and legal formalities.
Manage corporate matters of NBP subsidiaries.
Maintain official profiles and ensure website updates for the Chairman, Board of Directors, and President & CEO.
Perform any other duties assigned by the Board, President & CEO, or Committees.
